End User License Agreement (EULA)

Effective: June 30, 2026. This End User License Agreement (“EULA”) is a binding agreement between you and OTM App LLC (DBA "Own the Moment"), 1934 Old Gallows Rd, Ste 350, Vienna, Virginia 22182-4050, USA (“OTM App LLC,” “we,” “us,” “our”), for the Moment mobile application and any updates, and related documentation (the “App”). By downloading, installing, or using the App, you agree to this EULA, our Terms of Service, and our Privacy Policy. If you do not agree, do not download, install, or use the App.

Not medical care or a crisis service

The App is an adults-only self-help and wellbeing tool. It is not medical care, therapy, diagnosis, or an emergency or crisis service, and it is not a substitute for professional help. If you are in immediate danger or crisis, contact local emergency services — in the United States, call or text 988 or call 911. See the Terms of Service for the full notice.

Eligibility — 18+ only

You must be at least 18 years old to install or use the App. The App is intended for adults only and is not directed to anyone under 18.

License grant

Subject to your compliance with this EULA and the Terms of Service, OTM App LLC grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use one copy of the App on a device you own or control, solely for your own personal, non-commercial use. This is a license, not a sale; OTM App LLC and its licensors retain all right, title, and interest in and to the App.

License restrictions

You may not, and may not permit anyone else to:

  • copy, modify, or create derivative works of the App, except as expressly permitted by this EULA or applicable law;
  • reverse engineer, decompile, or disassemble the App, or attempt to derive its source code, except to the extent that restriction is prohibited by applicable law;
  • rent, lease, lend, sell, redistribute, sublicense, or otherwise commercially exploit the App;
  • remove, alter, or obscure any proprietary notices; or circumvent any security or access controls;
  • use the App in any unlawful manner or in violation of these terms.

App Stores and app-store terms

You obtain the App through the Apple App Store or Google Play (each, a “Store”). Your use of the App is also subject to the Store’s usage rules, and any paid subscription is sold and billed by the Store (see the Terms of Service for pricing and cancellation). The following terms apply where you obtained the App from the Apple App Store:

  • Acknowledgement. This EULA is between you and OTM App LLC only, and not with Apple. Apple is not responsible for the App or its content.
  • Scope of license. The license granted is limited to a non-transferable license to use the App on any Apple-branded device you own or control, as permitted by the App Store Usage Rules.
  • Maintenance and support. OTM App LLC is solely responsible for providing any maintenance and support for the App. Apple has no obligation to furnish any maintenance or support.
  • Warranty. To the maximum extent permitted by law, Apple has no warranty obligation with respect to the App. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any); Apple has no other warranty obligation, and any other claims are our responsibility.
  • Product claims. OTM App LLC, not Apple, is responsible for addressing any claims relating to the App, including product-liability, legal or regulatory, and consumer-protection claims.
  • Intellectual property. OTM App LLC, not Apple, is responsible for the investigation, defense, settlement, and discharge of any third-party intellectual-property infringement claim relating to the App.
  • Legal compliance. You represent that you are not located in a country subject to a U.S. Government embargo or designated a “terrorist supporting” country, and that you are not on any U.S. Government restricted-parties list.
  • Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of this EULA and, upon your acceptance, have the right to enforce it against you.

Privacy

Your use of the App is subject to our Privacy Policy, which explains what we collect and how we use it — including that any use or sharing of aggregated, de-identified data (with our affiliate Hofund Labs LLC and vetted partners) happens only with your separate, opt-in consent and never in a form that identifies you. We do not sell your personal information.

Updates

We may provide updates to the App and may require you to install them to continue using it. This EULA governs any updates unless they are accompanied by a separate license, in which case that license governs.

Termination

This EULA is effective until terminated. Your rights under it end automatically if you fail to comply with any of its terms. On termination, you must stop using the App and delete all copies. You may terminate at any time by deleting the App and your account.

Disclaimer and limitation of liability

The App is provided “as is” and “as available,” without warranties of any kind. To the fullest extent permitted by law, OTM App LLC disclaims all implied warranties and will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the App. The disclaimers and liability limits in our Terms of Service apply equally to this EULA.

Governing law

This EULA is governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-laws rules, except that the App Store terms may apply their own governing-law provisions where required.
